These terms and conditions apply to the QBits™ Account (the “QBits Account”). This agreement is between You (whether You are an individual or an entity) and Manifold Cloud Services Ltd., an Ohio limited liability company (together with its current and future affiliates and subsidiaries) (“MCS”).

You may participate in the QBits Account only if you agree to abide by all the terms of this agreement, are a professional HVAC technician or contractor using the QBits Account as part of your regular business, and are over the age of eighteen.

A. Opening and Funding the QBits Account

A QBits Account is a combination of QBits and FreeBits™ maintained by MCS. Both are redeemable only for services offered through MCS and are not redeemable for cash except as required by law.

You may open a QBits Account online at www.measurequick.com and purchase QBits using a bank issued credit or debit card in any amount of at least $20. There are no fees to setup or to maintain a QBits Account.

Purchased QBits and FreeBits appear in your available balance no later than the next business day. Additionally, you may enable automatic funding, (Auto Reload feature) to ensure that your account always has fresh funds available.

You may check your QBits Account balance anytime online at www.measurequick.com. All amounts are recorded and transacted in United States Dollars.

. Those You purchase (QBits) and those awarded to you (FreeBits™) by MCS, its affiliates, and authorized distributors.

There are Two Types of Bits

You may purchase QBits through MCS or its authorized distributors. QBits are funds maintained as electronic store gift cards with a balance maintained for you by MCS. QBits don’t expire until your QBits Account is determined to be abandoned.

FreeBits are coupons for MCS services awarded to you without cost and expire 90 days after issuance. The cash value of each FreeBit is $0.001; that means1,000 FreeBits is equivalent to one U.S. dollar.

B. Refunds, Order Cancellations or Modifications

Any service cancellations, or modifications to a service resulting in an adjustment of the amount due MCS will be applied to the QBits Account balance within one business day.

C. Using QBits

Your QBits Account balance consists of QBits and FreeBits. Both are redeemable only for services offered through MCS and are not redeemable for cash except as required by law. In California, You may redeem unused QBits for a cash refund if the remaining balance is ten dollars or less. FreeBits are not refundable. D. Abandoned Accounts

MCS may determine that your QBits Account is abandoned if You have not charged services against your QBits Account for 60 consecutive months (five years). MCS will give you notice using the current electronic mail registered to your QBits Account at least once before the determination because the state may require that we pay them. Since we don’t get to keep it either, we would rather that You use the account!

Before we pay the state, we will give you notice by email unless relevant law requires another method. If 30 days after electronic notice You have not responded to MCS, Your QBits Account will be charged an inactive account fee of up to $100 (not to exceed the QBits Account balance). Any remaining funds will be paid to the Treasurer of the State of Ohio, Division of Unclaimed Funds.

E. Privacy

Information collected other than credit or debit card account information is protected by our privacy policy. Use of your credit or debit card is governed by the privacy policy of our vendor, Stripe Inc. You may wish to review their privacy policy online at www.stripe.com.

MCS does not retain any credit or debit card information from You or Stripe Inc. but for the last four digits of the card number.

F. QBits Account Fees

There are no fees to open or maintain a QBits Account. MCS charges a one-time $100 fee (not to exceed the QBits Account balance) for abandoned QBits Accounts (see Abandoned Accounts) unless proscribed by law.

Fees for MCS services are provided to the QBits Account user before purchase of the ordered service.

G. Governing Law and Jurisdiction

This agreement is governed by, interpreted, and construed in accordance with the laws of the State of Ohio, without giving effect to its conflict of law rules. You hereby agree that the venue and jurisdiction for disputes arising from this agreement shall be exclusively in Ohio. You hereby irrevocably submit to the jurisdiction of state courts in Summit County Ohio and the federal court located in Cleveland Ohio.

H. Sales Taxes

Your state’s sales taxes are charged to your account when services are performed unless you provide MCS with a sales tax exemption statement.

I. Account Transfers

QBits may be transferred from one participant to another participant residing in the same state. FreeBits are not transferable. This section shall not be construed as permission to sell QBits. QBits and FreeBits may be distributed by authorized distributors only. A list of authorized distributors is listed on our website at www.measurequick.com. J. Modifications

MCS will give notice of any material changes to this agreement using the current electronic mail address registered with your QBits Account. You will be given an opportunity to cancel your participation prior to the time any material changes become effective.

If you do not agree to the changes, you must terminate your QBits Account before the changes become effective. MCS will refund the unused portion of your QBits balance within three business days. Any unused FreeBits will immediately expire upon termination of your QBits Account.

If you agree to the changes, you may continue to use the QBits Account subject to this agreement as modified.

K. Termination by MCS

MCS may terminate your QBits Account for any reason, or for no reason. In the event MCS terminates your account, MCS will give you notice using the electronic mail address registered with your QBits Account. MCS will refund the unused portion of your QBits balance within three business days. Any unused FreeBits will immediately expire upon termination of your QBits Account.

L. Unauthorized Use of QBits Account

You will provide a unique username (email address) and password when you setup your QBits Account. You are solely liable to maintain the secrecy of your password. MCS recommends that you change your password often. MCS is not liable for the unauthorized use of your QBits Account.

In the event of an account breach, contact us immediately.

M. Limitations of Liability

MCS MAKES NO WARRANTIES EXPRESS OR IMPLIED WITH RESPECT TO QBITS ACCOUNTS, INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

MCS is not liable for damages, including but not limited to consequential or compensatory damages arising as a result of natural disasters, actions or decrees of governmental bodies, communication line failures not the fault of MCS, third-party server outages, or any other delay or failure which arises from causes beyond MCS’s reasonable control, those obligations that cannot be performed through commercially reasonable diligence shall be suspended.

You and MCS agree that any award of damages of any nature including attorneys’ fees are limited to the fees you paid to MCS.
